Terms of Service

1. Introduction

Welcome to Appointfy. By accessing or using our website (appointfy.ai) and our services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Service. Appointfy is owned and operated by CYBER WAVE DIGITAL SOLUTIONS FZE, licensed in Sharjah, United Arab Emirates (the "Company", "we", "us", "our", or "Appointfy").

2. Definitions

  • Service Provider β€” any salon, barber, clinic, freelancer, or other business that uses Appointfy to manage bookings (also referred to as "Shop Owner", "Merchant", or "Subscriber").
  • End-Customer β€” any person who books an appointment with a Service Provider through the Appointfy booking page.
  • Subscription β€” the recurring SaaS plan a Service Provider purchases to use Appointfy.
  • Appointment Payment β€” any payment made by an End-Customer to a Service Provider for a service, processed through Stripe Connect.

3. Nature of the Service β€” Technical Intermediary Only

Appointfy provides a SaaS platform for appointment scheduling, customer management, messaging via WhatsApp, and payment facilitation. Appointfy is solely a technical intermediary. We do not own, operate, manage, supervise, employ, or control any Service Provider, nor do we sell, deliver, perform, guarantee, or insure any service provided by Service Providers to their End-Customers.

WhatsApp connectivity options. Appointfy offers two methods to connect a Service Provider's WhatsApp number: (a) WhatsApp Cloud API, the official messaging API hosted by Meta Platforms, Inc., and (b) Evolution connection, a self-hosted gateway based on a third-party open-source library. The Evolution method is not an official WhatsApp product; WhatsApp may, at its sole discretion and without notice, suspend or permanently ban any number connected via this method for any reason, including but not limited to changes in its detection systems. Where Evolution is selected, the Service Provider acknowledges and accepts that account suspension, message delivery interruption, customer-data loss, and any resulting business impact are the Service Provider's sole responsibility, and Appointfy makes no warranty of continuity, deliverability, or fitness for purpose. The Service Provider remains responsible for compliance with WhatsApp's Business Terms, Acceptable Use, and Commerce Policy regardless of the chosen connection method. Where Cloud API is selected, Meta's WhatsApp Business Terms apply additionally to the Service Provider.

4. Accounts & Subscriptions

  • Access: Access to the Service requires a registered account and an active paid Subscription (or an active free trial period).
  • Billing: Subscriptions are billed by Stripe, Inc. on our behalf. By providing a payment method, you authorize Appointfy and Stripe to charge that method for all applicable fees.
  • Trial: Newly registered Subscribers receive a 7-day free trial. A valid card and a $1 authorization hold (not a charge) are required to start the trial. If you do not cancel before the trial ends, your card will be charged the full subscription price automatically.
  • Automatic Renewal: Your Subscription automatically renews at the end of each billing cycle (monthly or annually) unless you cancel via your dashboard or the Stripe customer portal before the renewal date.
  • Pricing Changes: We may change subscription pricing or introduce new tiers with prior notice. Existing customers will be informed of any change before it takes effect.
  • No Refunds: All Subscription payments are strictly non-refundable. See our Refund & Cancellation Policy for full details.

5. Stripe Connect Marketplace β€” Disclaimer of Liability

Service Providers may enable Appointment Payments by connecting a Stripe account through Stripe Connect. When an End-Customer pays for an appointment, the funds are charged directly from the End-Customer's card to the Service Provider's own Stripe account. Funds never enter Appointfy's custody, possession, or control at any stage. The Service Provider is the merchant of record for all such transactions.

  • No party to the service agreement: The service contract for any appointment is exclusively between the End-Customer and the Service Provider. Appointfy is not a party.
  • No fiduciary, agency, or partnership relationship: Nothing in these Terms creates a partnership, joint venture, agency, fiduciary, or employer-employee relationship between Appointfy and any Service Provider or End-Customer.
  • Service Provider obligations: Service Providers are solely responsible for: honouring booked appointments, delivering the advertised service, complying with all consumer protection, tax, health, hygiene, and licensing laws applicable to their business, handling cancellations and refunds with their customers, paying out their own staff, and resolving any complaint or dispute raised by an End-Customer.
  • Appointfy assumes no responsibility: Appointfy expressly disclaims any and all responsibility for: the quality, safety, legality, accuracy, fitness, or availability of any service offered by a Service Provider; no-shows, cancellations, late arrivals, or any failure to deliver the booked service; the conduct of Service Providers, their staff, or End-Customers; loss, damage, injury, or harm arising out of or in connection with any appointment or service.
  • Refunds & chargebacks: Appointfy does not issue, fund, or facilitate refunds on behalf of Service Providers. Refunds, if any, are at the sole discretion of the Service Provider. Chargebacks initiated by End-Customers are handled directly between the cardholder, the card issuer, Stripe, and the Service Provider β€” Appointfy is not financially liable for the disputed amount or any associated fees.
  • Application fee / commission: Appointfy may charge a platform commission (application fee) on each Appointment Payment. This commission is non-refundable, including in cases where the underlying payment is refunded or reversed.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation;
  • Send spam, unsolicited bulk messages, or messages that violate WhatsApp Business policies, Meta's Commerce or Messaging policies, or applicable anti-spam laws (CAN-SPAM, PECR, CASL, LGPD Art. 7, GDPR Art. 6, and equivalents);
  • Engage in any fraudulent activity, including misrepresenting services, prices, or business identity;
  • Infringe the intellectual property, privacy, or other rights of any third party;
  • Probe, scan, reverse engineer, or attempt to bypass any security feature of the Service;
  • Resell or sublicense the Service without written authorization.

We reserve the right to suspend or terminate any account that violates these Terms, with or without notice and without refund.

7. Disclaimers β€” "As-Is" Service

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, OR UNINTERRUPTED OPERATION. APPOINTFY DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR FREE FROM DOWNTIME, NOR THAT ANY THIRD-PARTY INTEGRATION (INCLUDING WHATSAPP, STRIPE, GOOGLE CALENDAR, OR EVOLUTION API) WILL OPERATE WITHOUT INTERRUPTION OR DEFECT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, APPOINTFY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR ANTICIPATED SAVINGS, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, ANY APPOINTMENT, ANY PAYMENT, OR THESE TERMS.

IN NO EVENT SHALL APPOINTFY'S TOTAL AGGREGATE LIABILITY TO ANY USER, FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EXCEED THE GREATER OF (A) THE AMOUNT THAT USER PAID TO APPOINTFY IN SUBSCRIPTION FEES IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

Appointfy is not liable for any failure of a Service Provider to deliver an appointment, for any payment dispute between an End-Customer and a Service Provider, or for any loss of funds processed through Stripe Connect.

9. Indemnification

You agree to indemnify, defend, and hold harmless Appointfy and its affiliates from any claim, demand, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) any service you provide as a Service Provider, or any complaint, dispute, or chargeback arising from such service; (c) your violation of these Terms or any applicable law; or (d) your violation of the rights of any third party.

10. Termination

You may stop using the Service at any time and cancel your Subscription as described in Section 4. We may suspend or terminate your account at any time, with or without cause, with or without notice, and without refund, including in cases of suspected fraud, breach of these Terms, abuse of the platform, or non-payment. Upon termination, your right to access the Service immediately ceases. Sections 5, 7, 8, 9, 11, and 12 survive termination.

11. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Emirate of Sharjah and the federal laws of the United Arab Emirates, without regard to conflict-of-law principles. Any dispute arising out of or in connection with these Terms shall be resolved exclusively by the competent courts of Sharjah, UAE, and you consent to the personal jurisdiction of such courts.

12. Changes to these Terms

We may update these Terms from time to time. The "Last Updated" date at the top of this page reflects the most recent version. Material changes will be notified via email or in-app notification. Your continued use of the Service after a change becomes effective constitutes acceptance of the revised Terms.
